Siren.Audio — Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Siren.Audio LLC ("Siren.Audio," "Siren," "we," "us," or "our"), which operates the Siren.Audio website at https://siren.audio and the Siren.Audio mobile applications (together, the "Service"). By creating an account, purchasing or redeeming content, subscribing, publishing content, or otherwise using the Service, you agree to these Terms and to the policies incorporated by reference. If you do not agree, do not use the Service.
1. Who may use the Service
1.1 Age. You must be at least 13 years old to create an account or make a purchase. If you are under the age of majority where you live, you may use the Service only with the involvement of a parent or legal guardian who agrees to these Terms. We do not knowingly collect personal information from children under 13; see our Privacy Policy.
1.2 Accounts. To buy or listen to most content, you must create an account with a valid email address or sign in through a supported third-party provider. You are responsible for the accuracy of your account information, for keeping your credentials secure, and for activity under your account. Notify us promptly at support@siren.audio if you believe your account has been accessed without authorization.
1.3 Two-step verification. We may offer optional email-based or other two-step verification. You can manage available security options in your account settings.
1.4 One person, one account. Consumer accounts are for individual, personal use and are not transferable. You may not share your credentials or allow another person to use your account to access content licensed to you.
2. What Siren.Audio provides
2.1 The catalog. Siren.Audio is a marketplace and streaming service for digital audiobooks and related audio content ("Titles"). Titles may be provided by Siren, independent creators, or publishers. We do not guarantee that any particular Title will remain available for new purchase or redemption.
2.2 A license, not a sale of the file. When you purchase or redeem a Title, you receive a limited, personal, non-exclusive, non-transferable license to stream and listen to that Title through the Service for your own non-commercial use, subject to these Terms. You do not acquire ownership of the underlying audio files or intellectual-property rights in the Title.
2.3 Unpublished or unlisted Titles. If a creator or publisher later unpublishes or unlists a Title, that action ordinarily stops future sales or redemptions but does not remove the Title from the libraries of users who previously purchased or validly redeemed it. Siren may retain and continue to host, store, process, and stream the Title as reasonably necessary to honor those existing licenses. Access may still be disabled when required by law, a rights-holder claim or court order, a payment reversal, security concerns, a material violation of these Terms, or another circumstance in which continued access is unlawful or not reasonably possible.
2.4 Content protection. Audio may be delivered through protected or time-limited links and other technical measures. You may not circumvent, disable, or interfere with security, access-control, digital-rights-management, or content-protection features, and you may not access audio except through interfaces or features we authorize.
2.5 Offline listening. If the Service expressly offers offline listening, that feature permits temporary in-app access only. It does not give you a transferable copy of the audio file or permission to extract, record, copy, redistribute, publicly perform, or create derivative works from the Title.
3. Purchases, memberships, credits, and promotions
3.1 À la carte purchases. You may buy individual Titles at the price shown at checkout. Prices are shown in the displayed currency and may change prospectively. All purchases are subject to our Refund & Returns Policy and to any non-waivable rights provided by applicable law.
3.2 Membership. If you subscribe to a paid membership, you authorize Siren and its payment processors to charge the then-current membership fee at the start of each billing period until you cancel. Membership benefits are those disclosed at sign-up and may include one or more credits, loyalty benefits, or other features. Your membership renews automatically until canceled. Cancellation takes effect at the end of the current billing period unless applicable law requires otherwise. We will disclose the price, billing frequency, renewal terms, and material price changes as required by law.
3.3 Credits and Store Credit. Membership credits, promotional credits, and Store Credit are account-based benefits or stored value that may be used only for eligible transactions on the Service. They are not legal tender, are non-transferable, and have no cash value except where applicable law requires otherwise. Credits do not expire. Store Credit issued for a returned Title is credited to your Siren account rather than refunded to your original payment method, except where our Refund & Returns Policy or applicable law expressly provides otherwise.
3.4 Gifts. You may purchase eligible Titles as gifts. The recipient must have or create a Siren.Audio account to redeem the gift. Gift purchases and returns are governed by the Refund & Returns Policy.
3.5 Payment processing. Website payments are processed by third-party payment processors, currently including Stripe. We do not receive or store your full card number. You must provide a valid, authorized payment method. If a charge fails, is reversed, is charged back, or is disputed, we may suspend access to the affected transaction or take other reasonable action while the matter is investigated.
3.6 In-app purchases. Purchases or subscriptions made through the Apple App Store or Google Play are processed by the applicable store under its terms. The store, not Siren, generally handles billing changes and refunds for those transactions. Store rules may cause pricing, availability, or refund options to differ from the website.
3.7 Taxes. Prices may be shown inclusive or exclusive of tax depending on your location. You are responsible for taxes associated with your purchases that are not collected and remitted by us.
3.8 Promotions. Discounts, promo codes, free or discounted redemptions, bundles, giveaways, and similar offers may have additional terms, eligibility rules, redemption limits, or other restrictions, and a promo code or offer may need to be redeemed by a stated date. Once credits have been granted to your account, they do not expire. Promotions may be modified or withdrawn prospectively and cannot be combined unless we say otherwise.
4. Returns, Store Credit, refunds, and cancellations
Returns and cancellations are governed by our Refund & Returns Policy, which is incorporated into these Terms. Routine eligible Title returns are credited to your Siren account as Store Credit or, for a credit redemption, by restoration of the applicable credit; they are not cash refunds to the original payment method unless Siren expressly approves a refund or applicable law requires one. Purchases made through an app store are subject to that store's refund process.
5. Your content and conduct
5.1 User Content. The Service may allow you to submit reviews, ratings, comments, profile information, support communications, and other materials ("User Content"). You are responsible for your User Content and represent that you have the rights necessary to submit it and that it complies with these Terms, our Acceptable Use Policy, and applicable law.
5.2 License to Siren. You retain ownership of your User Content. You grant Siren a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, adapt for formatting and technical operation, distribute, and otherwise use that User Content as reasonably necessary to operate, promote, secure, and improve the Service. You may remove most User Content where the Service allows, although copies may remain in backups, transaction records, moderation records, or contexts where others have already interacted with it.
5.3 Acceptable use. You must comply with our Acceptable Use Policy. Among other things, you may not infringe others' rights, redistribute protected audio, manipulate sales or redemptions, abuse refunds or promotions, scrape or reverse engineer the Service, commit payment fraud, or disrupt the Service.
5.4 Moderation. We may review, screen, classify, restrict, edit, or remove User Content and may suspend or terminate accounts that violate these Terms, subject to applicable law. We are not obligated to monitor every submission.
6. Creators, publishers, and third-party Titles
Some Titles are provided by independent creators and publishers (collectively, "Sellers"). Sellers are bound by our Creator & Publisher Agreement and related policies. Unless we expressly identify a Title as Siren-owned, Siren is not the author, publisher, or rights owner of the Seller Title.
6.1 Rights complaints. We do not independently verify every ownership claim before publication. If you believe a Title infringes your copyright or other rights, follow our Copyright & DMCA Policy or contact us as directed there.
6.2 Infringing or unauthorized Seller Titles. Sellers must have all rights needed to publish and monetize their Titles. When we reasonably suspect that a Seller has submitted stolen, infringing, fraudulent, or otherwise unauthorized content, we may remove or disable the Title, hold or delay Seller payouts while we investigate, and apply the withholding, forfeiture, offset, remittance, or clawback provisions in the Creator & Publisher Agreement. A Seller has no right to payment for revenue attributable to a Title we determine was not authorized for distribution or monetization on Siren.
7. Intellectual property
The Service, including its software, design, text, graphics, logos, and the "Siren.Audio" name and marks, is owned by Siren or its licensors and is protected by intellectual-property laws. We grant you only the limited rights necessary to use the Service as intended under these Terms. Titles remain owned by their respective rights holders. Nothing in these Terms transfers intellectual-property ownership to you.
8. Account restrictions, suspension, deactivation, and deletion
8.1 By you. You may deactivate your account, where that feature is offered, or permanently delete it from your account settings. Permanent deletion ends your access to the Service and your licenses to Titles. We may retain records as described in our Privacy Policy and as required for legal, tax, accounting, fraud-prevention, rights-enforcement, and dispute-resolution purposes.
8.2 By us. We may suspend, restrict, or terminate access; remove content; or limit account features if you violate these Terms or the law, if your account is used fraudulently, if required for security or legal reasons, or if necessary to protect users, rights holders, or the Service. Where practical and lawful, we will provide notice.
8.3 Return, promotion, and purchasing abuse. If we identify a pattern of excessive, deceptive, fraudulent, or abusive returns, chargebacks, promotional redemptions, account creation, or purchasing activity, we may remove self-service return eligibility, restrict Store Credit or promotional privileges, suspend membership benefits, or limit or disable future purchasing. A purchasing restriction by itself does not remove lawfully acquired Titles from your library. We may still remove or suspend access to a specific Title when the related payment was reversed or fraudulent, when a legal or rights issue requires removal, or when another provision of these Terms permits it.
8.4 Effect of termination. When an account is terminated, your right to use the Service ends except to the extent applicable law provides otherwise. Provisions that by their nature should survive, including payment obligations, licenses already granted to us, intellectual-property protections, disclaimers, liability limits, indemnity obligations, and dispute provisions, remain in effect.
9. Disclaimers
To the fullest extent permitted by law, the Service and all content are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant uninterrupted, error-free, or completely secure operation or that any Title will remain available in every circumstance. Nothing in these Terms excludes a warranty or consumer right that cannot legally be excluded.
10. Limitation of liability
To the fullest extent permitted by law, Siren and its officers, employees, contractors, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of data, profits, revenue, or goodwill, arising out of or relating to your use of or inability to use the Service, even if advised of the possibility. To the fullest extent permitted by law, Siren's total liability for all claims relating to the Service in any twelve-month period will not exceed the greater of the amount you paid directly to Siren during that period or fifty U.S. dollars ($50).
11. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Siren and its officers, employees, and agents from claims, damages, liabilities, losses, and reasonable expenses, including legal fees, arising from your User Content, your misuse of the Service, your violation of these Terms, or your violation of applicable law or a third party's rights.
12. Changes to the Service and these Terms
We may modify or discontinue the Service or any feature at any time, subject to applicable law. We may also update these Terms. If we make material changes, we will provide notice as required by law, such as by posting the updated Terms with a new "Last updated" date or by sending an account notice. Changes apply prospectively unless stated otherwise or required by law. Continued use after the effective date of an update means you accept the updated Terms.
13. Governing law and disputes
13.1 Governing law. These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles, except to the extent the mandatory law of your home jurisdiction applies.
13.2 Venue. To the fullest extent permitted by law, any dispute arising out of or relating to these Terms or the Service that is not resolved informally will be brought in the state courts located in Bay County, Florida, or, when federal jurisdiction exists, in the United States District Court serving Bay County, Florida. You consent to personal jurisdiction and venue in those courts.
13.3 Informal resolution. Before filing a formal claim, please contact support@siren.audio and provide a reasonable opportunity for us to investigate and attempt to resolve the dispute. This requirement does not prevent either party from seeking urgent injunctive relief or exercising a right that cannot legally be waived.
14. General
14.1 Entire agreement. These Terms, the Privacy Policy, the Refund & Returns Policy, the Acceptable Use Policy, the Copyright & DMCA Policy, the Creator & Publisher Agreement when applicable, and any additional terms presented at purchase or participation form the applicable agreement between you and Siren regarding the Service.
14.2 Severability and waiver. If a provision is found unenforceable, the remaining provisions remain in effect. A failure to enforce a provision is not a waiver of the right to enforce it later.
14.3 Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, financing, reorganization, or sale of assets.
14.4 Force majeure. We are not liable for delay or failure caused by events beyond our reasonable control.
